1. Type of Service

Avsel provides a digital product and software license for artificial intelligence integration.

2. License Agreements

Our software is distributed under two distinct licenses:

• Avsel IA Base: Distributed under the LGPL-3 (Open Source) license.
• Avsel IA Pro: Distributed under the OPL-1 (Odoo Proprietary License). You are granted 1 license per Odoo database instance. Redistribution of the Pro module is strictly prohibited.

2b. License Validation and Renewal

Avsel IA Pro requires a valid license key, tied to a single Odoo database instance. The license is validated periodically against our server:

• Each license key is bound to the first database instance where it is activated. It cannot be transferred to a different database without contacting support.
• The license is valid for 90-day periods and renews automatically as long as the key remains valid.
• If the module cannot reach the validation server (e.g., firewall restrictions), a 30-day grace period allows continued use with full functionality.
• After the grace period expires without successful validation, the module continues to operate with reduced AI prompt quality until the license is renewed.

3. Refund Policy

As a digital downloadable product, all sales are final. We encourage you to install and test the free Base module (15 tools) before purchasing Pro. Contact <a>[email protected]</a> for any questions before purchase.

4. Limitation of Liability and Consumer Responsibility

The software is provided "as-is", without any warranty of any kind, either expressed or implied. Avsel does not guarantee specific business results, profits, or uninterrupted operations. The entire risk arising out of use or performance of the software remains with the consumer. To the maximum extent permitted by applicable law, Avsel's liability shall be strictly limited to the amount paid for the software license.

5. AI Disclaimer

IMPORTANT: Avsel IA is an assistance tool. AI-generated responses may contain errors or inaccuracies. Users are solely responsible for independently verifying all AI outputs before making any business decisions. Avsel shall not be liable for any consequences, financial losses, or damages arising from automated actions or AI hallucinations.

6. Third-Party API Dependence and Costs

Avsel integrates with third-party Large Language Models (e.g., OpenAI, Anthropic). We are not liable for any downtime, API changes, or service interruptions from these third-party providers (Force Majeure). Users are solely responsible for providing their own API keys and managing the billing/token costs incurred from these third-party services.

7. Indemnification

You agree to indemnify and hold harmless Avsel against any claims, damages, or legal fees arising from your misuse of the software, violation of Odoo's terms of service, or any illegal activities conducted using our AI integrations.

8. License Termination

We reserve the right to immediately terminate or suspend your Odoo Pro license, without prior notice or refund, if we detect unauthorized redistribution, reverse engineering, piracy, or abuse of our support services.

9. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, and code (excluding Odoo open-source dependencies), is the exclusive intellectual property of Avsel. Any unauthorized reproduction or use of our landing page materials is strictly prohibited.

10. Odoo Ecosystem Compatibility

Our products are designed to integrate with Odoo. While this agreement and your purchase are governed by the laws of Mexico, by using our modules, you also acknowledge and agree to respect the terms and conditions of the official Odoo Apps Store where applicable.

11. Age Requirement

You must be at least 18 years of age to purchase products or use services on this website.

12. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Mexico, Guanajuato. Any disputes shall be subject to the exclusive jurisdiction of the applicable courts in Guanajuato, Mexico.
